Management remuneration

The senior employees' compensation is based on competitive terms. The CEO's compensation for 2013 is detailed in note 23 to the 2013 annual accounts. Pursuant to Section 6-16a of the Public Limited Liability Companies Act, the Board has drawn up a declaration concerning the fixing of the pay and other remuneration of the CEO and other senior employees for 2013.

The following incentive scheme, based on a share option plan, was approved by the general meeting on June 27th 2012;

CFO Erik Tjørstad (**) 20 000
COO & VP sales Bertil Andersson (***) 20 000
VP Sales Europe Kathe Bleken 20 000
Marketing Manager Camilla Marie Lindberg 20 000
Chief Analyst Henning Fjøs 20 000
Sum total no. of shares 185 000

(*) Declared and transferred into shares in April/May 2013.
(**) Declared and transferred into shares in May 2014.
(***) These options has been deleted due to Bertil Andersson has resigned from NattoPharma ASA end of April 2013.

The senior management participates in the company’s pension and life insurance plan through Storebrand Life Insurance AS.
